These Terms and Conditions ("Terms") govern your access to and use of the Caskade platform and related services (collectively, the "Service"), operated by Caskade ("we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

The Service is intended solely for use by businesses and professionals ("Users"). By using the Service, you represent that you are acting on behalf of a legal entity and have the authority to bind that entity to these Terms. The Service is not directed at consumers or individuals acting in a personal capacity.

Caskade provides a B2B water reuse evaluation platform designed to help industrial companies assess, plan, and implement water reuse and wastewater management solutions. The platform may include data analysis tools, regulatory compliance reference materials, project evaluation reports ("Caskade Eval"), and related consulting outputs.

The Service is provided for informational and decision-support purposes only and does not constitute engineering, legal, environmental, or regulatory advice.

To access the Service, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information during registration;
• Maintain and promptly update your account information;
• Keep your credentials confidential and not share access with unauthorized parties;
• Notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service to transmit any unlawful, harmful, or fraudulent content;
• Attempt to gain unauthorized access to any part of the Service or its underlying infrastructure;
• Reverse-engineer, decompile, or otherwise attempt to extract the source code of the platform;
• Resell, sublicense, or redistribute the Service without our prior written consent;
• Use automated tools to scrape, harvest, or extract data from the platform without authorization.

All content, software, methodologies, data models, and materials made available through the Service are the exclusive property of Caskade or its licensors and are protected by applicable intellectual property laws.

Nothing in these Terms grants you any ownership rights in the Service. You are granted a limited, non-exclusive, non-transferable license to access and use the Service solely for your internal business purposes during the term of your subscription or engagement.

You may provide us with company data, operational data, or other information in connection with your use of the Service ("Client Data"). We will handle Client Data in accordance with our Privacy Notice and any applicable data processing agreement.

You retain ownership of your Client Data. By submitting Client Data, you grant Caskade a limited license to process that data solely for the purpose of providing the Service.

The Service may incorporate publicly available data (including regulatory databases, emissions registries, and environmental compliance records) as well as third-party tools and integrations. We do not warrant the accuracy, completeness, or timeliness of third-party data. Use of any third-party service is subject to that party's own terms and conditions.

Access to certain features of the Service may require payment of fees as set out in a separate order form or subscription agreement. All fees are due in accordance with the payment terms agreed at the time of purchase.

We reserve the right to suspend access to the Service in the event of non-payment. All fees are exclusive of applicable taxes unless otherwise stated.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. Outputs generated by the platform are for decision-support purposes only and should be verified by qualified professionals before being relied upon for regulatory, engineering, or investment decisions.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CASKADE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU SHALL NOT EXCEED THE FEES PAID BY YOU TO CASKADE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

You agree to indemnify, defend, and hold harmless Caskade and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of the Service or your violation of these Terms.

These Terms remain in effect for as long as you use the Service. Either party may terminate the relationship upon written notice. Upon termination, your right to access the Service ceases immediately. Sections relating to intellectual property, liability, indemnification, and governing law shall survive termination.

These Terms are governed by the laws of Spain. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Barcelona, Spain, to which both parties irrevocably submit.

We reserve the right to update these Terms at any time. We will notify you of material changes by posting the updated Terms on our website or by direct communication. Continued use of the Service after such changes constitutes your acceptance of the revised Terms.
